I. Introduction and Acceptance of Terms
Welcome to Modbus Mall. Modbus Mall (hereinafter referred to as "the Platform" or "we") is an online trading platform dedicated to industrial automation and the Internet of Things, offering Modbus protocol-related products (such as sensors, controllers, gateways, etc.), technical services, technical documentation, and solutions.
These Terms and Conditions (hereinafter referred to as "these Terms") outline all the rules you must adhere to when accessing, browsing, and using the Platform (including but not limited to the website, mobile applications, and related services).By using the services of the Platform, you signify that you have fully read, understood, and agree to fully accept all the contents of these Terms, including various rules, instructions, and announcements that have been or may be published by the Platform in the future. If you do not agree with any content of these Terms, please immediately cease using the services of the Platform.
II. Definitions
"Platform": Refers to the Modbus Mall website and related online services.
"User"refers to all individuals or entities accessing or using the services of this platform.
"Buyer"refers to users who have registered an account on this platform and purchased products or services.
"Seller"refers to users who have registered an account on this platform and sell their products or services through this platform.
"Product"refers to physical goods sold through this platform, such as hardware devices, modules, etc.
"Service"refers to technical services provided through this platform, such as protocol development, technical consultation, cloud services, technical document downloads, etc.
III. Account Registration and Management
Account Qualifications: You must have full civil capacity as stipulated by law, or be legally authorized to register an account on behalf of an entity. When registering, you need to provide true, accurate, up-to-date, and complete information.
Account Security: It is your responsibility to keep your account name and password secure, and you are fully responsible for all activities conducted using your account. If you discover any unauthorized use of your account, you should immediately notify the platform.
Business Accounts: If you register in the name of a company, you declare and guarantee that you have the authority to represent and bind the company.
IV. Purchase of Products and Services
Product Information: The platform strives to ensure the accuracy of product descriptions, specifications, technical documentation, and prices. However, manufacturers may update products, so the actual product may have minor differences from the images on the website, and the actual product shall prevail. Minor changes in technical specifications are not considered product issues.
Orders: By placing an order, you indicate your intention to purchase the relevant product or service. Order acceptance depends on product inventory, price accuracy, and our final confirmation. We reserve the right to cancel orders for any reason after they have been placed but before shipment.
Prices and Payment: The displayed prices do not include value-added tax (VAT), shipping fees, customs duties, etc. (unless explicitly stated). You agree to pay all fees in the order and authorize us to collect payment through the payment method you specify.
Technical ServicesFor services such as technical consultation and custom development, the specific scope, deliverables, time nodes, and acceptance criteria should be clearly stipulated in the service order or an additional "Service Agreement".
V. Intellectual Property and Licensing
Platform Content: All content on this platform, including but not limited to text, graphics, logos, button icons, images, data compilations, software, and technical documentation, is protected by copyright, trademark rights, and other intellectual property laws.
User Content: The intellectual property rights of the content you upload, post, or transmit on this platform still belong to you. However, you grant this platform a global, royalty-free license to use, host, store, copy, modify, and distribute such content for the purpose of operating and promoting this platform.
Third-Party Intellectual Property: You agree not to upload or share any material that infringes on the intellectual property rights of third parties. This platform respects intellectual property rights and will take appropriate measures upon receiving a valid infringement notice.
Technical Documentation and Software: You only obtain a limited, non-exclusive, non-transferable license to download technical documentation, software, or firmware from this platform for your personal or internal use only, and it is not allowed to be used for any commercial resale or reverse engineering (unless expressly permitted by law).
VI. User Code of Conduct
You agree not to engage in the following activities:
1. Violate any applicable laws or regulations.
2. Infringe upon the intellectual property rights, privacy rights, or other rights of others.
3. Upload or disseminate viruses, malicious codes, or engage in any activities that interfere with the normal operation of the platform.
4. Publish false, misleading, or fraudulent information.
5. Use the technical products or services of this platform for illegal or malicious purposes.
VII. Disclaimer and Limitation of Liability
1.Provided "As Is": This platform, its services, and all content are provided "as is" and "as available".We make no express or implied warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, and continuous availability.
2.Technical Risks: You understand and agree that the use of industrial automation products and technical services involves inherent risks. It is your responsibility to ensure that the selected products and services meet your project requirements, safety standards, and regulatory requirements.This platform and its affiliates shall not be liable for any direct, indirect, incidental, special, or consequential losses (including data loss, production loss, loss of profits) arising from the use of this platform's products or services, unless such losses are directly caused by our gross negligence or intentional misconduct.
3.Liability Cap: In any case, our total cumulative liability to you shall not exceed the total amount actually received for the order giving rise to the claim.

IX. Termination

Right to Amend: We reserve the right to update and amend these Terms at any time. Any amendments will take effect immediately upon the posting of the revised Terms on the platform. Your continued use of the platform services indicates your acceptance of the revised Terms.
